Terms of Service

Welcome to Scrydex! By accessing or using our website, APIs, software, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to the Terms

Scrydex reserves the right to update, modify, or replace these Terms at any time. Changes become effective immediately upon posting to this page unless otherwise stated. We may, but are not obligated to, provide notice of material changes through email, dashboard notifications, or other communication methods. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services for commercial purposes. By using the Services, you represent and warrant that you meet these requirements and have the legal authority to enter into these Terms.

4. Use of the Services

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.

You agree that you will not:

  • Engage in fraudulent, harmful, deceptive, or illegal activity.
  • Attempt to gain unauthorized access to the Services, systems, infrastructure, or accounts.
  • Disrupt, interfere with, or compromise the security, stability, or integrity of the Services.
  • Circumvent authentication systems, rate limits, billing systems, or usage tracking mechanisms.
  • Use the Services in a manner that unreasonably or disproportionately consumes system resources.
  • Use automated systems or excessive request patterns inconsistent with normal commercial usage.
  • Reverse engineer, decompile, benchmark, copy, or attempt to extract source code, models, prompts, datasets, or proprietary technology from the Services.
  • Resell, sublicense, redistribute, mirror, or commercially exploit the Services without prior written authorization from Scrydex.
  • Use the Services primarily as a substitute backend, proxy, or wholesale data source for a competing commercial product or service without written authorization from Scrydex.
  • Upload malicious software, malware, viruses, or harmful code.
  • Use the Services to send spam, unsolicited communications, or abusive content.

5. Accounts and Security

Certain features of the Services may require an account. You agree to provide accurate and complete information and to keep your account credentials secure and confidential.

  • You are responsible for all activity occurring under your account.
  • You must promptly notify Scrydex of any unauthorized access or suspected security breach.
  • Scrydex is not responsible for losses resulting from unauthorized access caused by your failure to safeguard your credentials.

6. Fees, Billing, and Credits

Certain Services require payment, subscription fees, or usage-based billing. By purchasing or using paid Services, you agree to pay all applicable fees and charges.

Fees, usage limits, included credits, overage pricing, and billing terms are described in the applicable pricing pages, documentation, or order forms and may change over time in accordance with these Terms.

AI-powered functionality and image recognition features may consume credits at significantly higher rates than standard API requests due to increased computational costs.

Except where required by law, all payments are non-refundable.

7. AI Features and Fair Usage

Scrydex may provide artificial intelligence–powered functionality, including but not limited to image recognition, automated analysis, and metadata generation ("AI Features"). AI Features require significantly greater computational resources than standard API requests and are subject to usage-based controls and operational limits.

AI-generated outputs may be inaccurate, incomplete, delayed, or incorrect. This includes, but is not limited to, card identifications, pricing data, metadata, grading information, population reports, and related outputs. AI-generated outputs are probabilistic in nature and should not be relied upon as the sole basis for financial, purchasing, authentication, grading, or business decisions.

Scrydex enforces a Fair AI Usage policy to maintain platform reliability, performance, and sustainable pricing for all customers. While Scrydex may not impose fixed daily limits, excessive, abusive, economically unreasonable, or materially atypical usage patterns may result in review, temporary rate limiting, suspension, required plan upgrades, custom pricing requirements, or restricted access.

Scrydex reserves the right to impose quotas, technical limitations, concurrency restrictions, rate limits, or usage controls at any time to protect platform stability, infrastructure integrity, security, or customer experience.

Scrydex will make commercially reasonable efforts to notify customers before taking actions that materially impact continued access to AI Features when practical to do so.

8. User Content and Uploads

You retain ownership of any images, content, data, or materials submitted to the Services ("User Content").

By submitting User Content, you grant Scrydex a worldwide, non-exclusive, royalty-free license to host, process, analyze, transmit, reproduce, and use such User Content solely for the purpose of operating, securing, improving, and providing the Services.

You represent and warrant that you possess all necessary rights, permissions, and authority to upload and use User Content with the Services.

You may not upload unlawful, infringing, abusive, deceptive, malicious, or otherwise harmful content.

9. Intellectual Property

Scrydex and its licensors retain all rights, title, and interest in and to the Services, including all software, APIs, infrastructure, designs, trademarks, branding, models, and proprietary technology.

Except as expressly permitted under these Terms, no rights are granted to you by implication or otherwise.

Any third-party card data, metadata, trademarks, or related content accessible through the Services remains the property of its respective owners or licensors. Scrydex does not claim ownership of third-party intellectual property.

10. Availability and Beta Features

The Services are provided on an "as available" basis. Scrydex does not guarantee uninterrupted availability, uptime, response times, or error-free operation unless expressly stated in a separate written agreement.

Features designated as beta, preview, experimental, or early access may be modified, suspended, or discontinued at any time without notice and may be less reliable than production features.

11. Suspension and Termination

Scrydex may suspend or terminate access to the Services immediately, with or without notice, for reasons including but not limited to:

  • Violation of these Terms.
  • Nonpayment or disputed charges.
  • Fraudulent, abusive, or suspicious activity.
  • Security incidents or technical risks.
  • Requests from law enforcement or government authorities.
  • Conduct that negatively impacts the Services or other customers.

Upon termination, your right to access and use the Services immediately ceases.

Scrydex may delete or render inaccessible account data following termination and has no obligation to retain or provide such data.

You remain responsible for all fees, charges, and obligations incurred before termination.

12. Data Retention and Backups

You are solely responsible for maintaining backups of any data submitted to the Services. Scrydex is not responsible for data loss, corruption, deletion, or inability to recover User Content or account data.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

SCRYDEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRYDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRYDEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • The total amount paid by you to Scrydex during the twelve (12) months preceding the event giving rise to the claim; or
  • $100 USD.

15. Indemnification

You agree to indemnify, defend, and hold harmless Scrydex, its affiliates, officers, employees, contractors, and licensors from and against any claims, damages, liabilities, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable laws or regulations.
  • Your User Content or uploaded materials.
  • Your infringement of third-party rights.

16. Force Majeure

Scrydex shall not be liable for delays, interruptions, failures, or damages resulting from causes beyond its reasonable control, including natural disasters, internet outages, cyberattacks, labor disputes, cloud infrastructure failures, governmental actions, or acts of force majeure.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Wisconsin.
